Effective date: 13 October 2026 Version: 1.0
This agreement governs the licence to use any A-TAB Assignment Kit listed in the Schedule (each a "Kit").
The Kit purchased is named on the licence certificate or purchase record. Each purchase is a separate licence for
that Kit only.
1. Definitions and interpretation
"Licensor" means A-TAB Global Informatics Nig Ltd. "Licensee" means the person or organisation identified on the licence certificate or purchase record. "Authorised User" means a named individual permitted to use the Kit under the purchased licence. "Kit" means the A-TAB Assignment Kit named on the licence certificate or purchase record: its proprietary guide, Example State demonstration materials, scripts and notebooks, QGIS project, templates, registers, checklists, sample report and associated files supplied by the Licensor, excluding third-party materials governed by their own licences.
"Client Deliverables" means assignment-specific maps, tables, reports, analyses and permitted project-specific modified materials produced through legitimate use of the Kit. "Organisation" refers to the single legal entity purchasing an Organisation Licence.
2. Licence grant and duration
Subject to payment and compliance with this Agreement, the Licensor grants the Licensee a non-exclusive, non-transferable, perpetual licence to use the Kit for the version purchased and eligible updates, except where this Agreement is lawfully terminated. The licence permits use and does not transfer ownership of intellectual property.
An Individual Licence permits use by one named individual only, including that individual's work for an employer or clients, but does not permit the employer, client or other personnel to use the Kit independently. The licence certificate or purchase record identifies the licence type and named user(s).
3. Organisation Licence
An Organisation Licence permits up to ten (10) named Authorised Users within the single purchasing legal entity to access and use the Kit for internal work and commercial consultancy assignments. Internal training for Authorised Users is permitted. The organisation may replace a named user who leaves or permanently stops using the Kit, but may not rotate seats to exceed the ten-user limit.
Affiliates, external contractors, subcontractors and third parties are not included unless expressly authorised in writing. The organisation is responsible for its Authorised Users and for reasonable access controls. Additional seats require a separate agreement or purchase.
4. Permitted commercial use
The Licensee may use the methods, scripts, notebooks, templates, registers and checklists for an unlimited number of internal and paid client assignments. The Licensee may modify these materials for such assignments and provide project-specific analytical results, maps, tables and reports to clients.
The Licensee may provide modified scripts, templates or registers to a client only where reasonably necessary to deliver, review, operate or hand over a particular assignment, and only to the extent the Licensee is entitled to distribute the relevant material. This does not grant the client an independent licence to the original Kit or permission to resell, publish or redistribute its proprietary components. Any separately licensed third-party materials remain governed by their own terms.
5. Prohibited distribution and competing products
Except as expressly permitted here or required by applicable third-party licences or law, the Licensee must not share access credentials; provide copies of the proprietary Kit to unauthorised users; resell, sublicense, publish or upload the Kit or substantial proprietary portions of it; or repackage its proprietary documentation, templates or other materials as a standalone or substantially equivalent competing toolkit, course-material collection, repository or digital product.
The Licensee must not misrepresent the sample report or Example State demonstration data as real findings, or remove proprietary copyright or licence notices from materials that retain Licensor-owned content. Nothing in this clause prohibits independent development, use of general skills and ideas, or acts permitted by mandatory law or relevant open-source licences.
6. Intellectual property and ownership
All intellectual property rights in the Licensor's original Kit materials remain with the Licensor or its licensors.
All rights not expressly granted are reserved. The Licensee retains ownership of their own original input data and project-specific analytical outputs, subject to third-party and client rights.
Ownership of client-specific modified code and templates may depend on applicable law, underlying copyright, third-party licence obligations and the Licensee's client contract. This Agreement grants no greater rights than the Licensor lawfully holds.
7. Client deliverables and retained rights
Client Deliverables may be used, supplied and commercially exploited in accordance with the relevant client engagement, provided they do not contain unauthorised copies or substantial reproductions of proprietary Kit content.
Delivery of a client report does not transfer the original Kit licence.
Following expiry or termination of this licence, completed analytical reports and other lawfully delivered outputs may remain with clients, but further access to or use of proprietary Kit files must stop as provided in clause 13. Client rights under separate agreements and mandatory laws remain unaffected.
8. Demonstration data and third-party materials
"Example State" demonstration data is synthetic: its places, people, roads, facilities, projects, costs and figures are invented and must not be described as observations about a real place. The Kit may refer to or interoperate with third-party software, services and datasets, such as QGIS, Python and its libraries, Jupyter, OpenStreetMap, gridded population datasets and settlement classification grids, as named in the Kit's guide.
Independent third-party software, code, datasets and trademarks are subject to their owners' licences, attribution requirements and notices, including the Open Database Licence for OpenStreetMap data. Where a third-party licence grants rights that cannot be restricted by this Agreement, that licence governs the relevant component. A third-party notices document accompanies each released Kit. The Kit is not affiliated with or endorsed by those third parties unless explicitly stated.
9. Data protection, confidentiality and security
The Licensee is responsible for obtaining adequate rights and legal grounds to access, process, share and retain all assignment data, including client datasets and any personal or sensitive information such as health information or location tracks. The Licensee must comply with applicable privacy and data-protection laws, including the Nigeria Data Protection Act 2023 where it applies, confidentiality obligations, data-sharing agreements and open-data terms.
The Licensee is responsible for appropriate information security, testing and validation before using any Kit component with production data. The Kit is not represented as a secure patient-record system or a certified clinical decision-support tool.
10. Warranty disclaimer and professional responsibility
The Kit is supplied "as is" and, to the extent permitted by law, without any promise that it is error-free, uninterrupted, suitable for a particular assignment or compatible with all environments. The Licensee must independently validate input data, assumptions, scripts, outputs and conclusions before reliance or deployment.
The Kit provides general geospatial, accessibility and planning methods and is not a substitute for appropriate professional, engineering, economic, environmental, clinical, policy or legal judgment. In particular, a Kit that ranks investments by access does not provide engineering design, cost estimates, economic appraisal or safeguards assessment. Nothing in this Agreement limits statutory guarantees or remedies that cannot lawfully be excluded.
11. Limitation of liability
To the maximum extent permitted by applicable law, the Licensor is not liable for indirect or consequential loss, lost profits, interruption of business or loss resulting from decisions made in reliance on outputs generated with the Kit.
For business Licensees only, the Licensor's total aggregate contractual liability arising from the Kit and this Agreement shall not exceed the amount paid for the relevant licence, to the extent that cap is lawful, fair and enforceable. Nothing excludes or restricts liability for fraud, fraudulent misrepresentation, death or personal injury caused by negligence where such restriction is prohibited, or other liability or statutory consumer rights that cannot lawfully be limited.
12. Updates and support
Updates that the Licensor makes generally available for the purchased Kit during the first twelve (12) months following purchase are included at no additional charge. After that period, the Licensee may continue using the last version lawfully received, and newer versions may be sold separately. The Licensor does not promise any particular number or frequency of updates, future features or compatibility changes.
Technical support, onboarding, customisation and implementation services are not included unless expressly stated on the product page, invoice or separate written agreement. Statutory remedies are unaffected.
13. Refunds, breach and termination
Refund requests are governed by the Refund Policy at https://atabinformatics.com/refunds.html, subject always to any applicable mandatory consumer rights. Any voluntary money-back guarantee is separate from statutory cancellation and digital-content remedies. Where legally required, digital content will be supplied before expiry of a cancellation period only with appropriate express consent and acknowledgement.
The Licensor may terminate this Agreement for a material breach that remains unremedied for fourteen (14) days after written notice, where capable of remedy. The Licensor may terminate immediately for deliberate unauthorised commercial redistribution of proprietary Kit content, subject to mandatory law. On valid termination, or following a qualifying full refund that ends the licence, the Licensee must cease using and delete proprietary Kit copies under their control, except to the extent retention is required by law. Accrued claims and provisions intended to survive termination remain effective.
14. Governing law and dispute resolution
This Agreement is governed by the laws of the Federal Republic of Nigeria, subject to mandatory consumer protections that apply in the country where a consumer habitually resides. The parties should first attempt to resolve disputes through good-faith written discussions within thirty (30) days after notice of the dispute.
Subject to any mandatory consumer jurisdiction rules, the competent courts in Lagos State, Nigeria shall have jurisdiction.
15. Website terms and agreement changes
The Terms of Service at https://atabinformatics.com/terms.html also apply where relevant. If those terms conflict with this Agreement about licence scope or use of the Kit, this Agreement takes precedence. The version accepted at purchase governs that purchase unless the parties lawfully agree otherwise; a later website change does not unilaterally withdraw existing perpetual licence rights. Adding a Kit to the Schedule does not change the terms of any licence already purchased.
If any provision is unenforceable, the remainder continues to the extent legally possible. Failure to enforce a provision immediately is not a waiver of rights.
16. Contact and acceptance
Questions and legal notices may be sent to enquiries@atabinformatics.info or the Licensor's registered contact address stated above, subject to any legally required method of service. A purchaser should be shown this Agreement and have a reasonable opportunity to review and accept it before completing a purchase.
Licence record (shown on your licence certificate): licensee name or organisation, Kit purchased, licence type, named users or seats, purchase date, certificate ID and the licence version accepted.
