Product: The digital toolkit identified on the purchaser's order confirmation or licence certificate.
1. Licence Grant
Upon receipt of full payment, A-TAB Global Informatics Nig Ltd ("A-TAB") grants the named licensee a perpetual, non-exclusive, non-transferable, single-user licence to use the purchased digital toolkit, subject to this Agreement.
The toolkit may include workflow cards, AI prompts, code starters, validation checks, templates, documentation and demonstration data.
The licence permits use by one named individual only. It does not permit shared access, redistribution or use by multiple individuals under a single licence.
The licence requires no renewal fee and remains valid unless terminated in accordance with this Agreement.
2. Permitted Use
The licensee may:
a. Use the toolkit for personal, academic, research, professional and commercial activities.
b. Apply the prompts, workflows and code starters in projects undertaken for themselves, their employer or paying clients.
c. Modify code starters, prompts and workflows to meet project-specific requirements.
d. Incorporate modified code into project-specific applications, analytical outputs or client deliverables, provided this does not amount to redistribution of the toolkit or a substantially equivalent competing product.
e. Produce and distribute original reports, maps, charts, datasets, analytical results and other outputs generated through permitted use of the toolkit.
The licence permits commercial application of the toolkit but does not transfer ownership of the underlying intellectual property.
3. Restrictions
The licensee must not:
a. Resell, sublicense, share, distribute, publish or otherwise make the toolkit available to another person, whether free of charge or for payment.
b. Redistribute the original toolkit, or substantially equivalent or lightly modified versions, as a competing commercial or free product.
c. Package the supplied cards, prompts, code starters or templates into another prompt library, training package, software toolkit, downloadable collection or public repository for redistribution.
d. Share access credentials, licence certificates or licensed materials with any unauthorised user.
e. Remove, obscure or alter copyright, trademark, ownership or licence notices from the original distributed materials.
f. Represent themselves as the creator or owner of A-TAB's original proprietary materials.
These restrictions do not prevent the licensee from producing original project deliverables or distributing project-specific outputs as expressly permitted under Section 2.
An organisation requiring access for multiple users must obtain an appropriate organisation licence.
4. Intellectual Property Ownership
All intellectual property rights in the original toolkit, including its cards, prompts, documentation, templates, code starters, workflow structures and original demonstration materials, remain with A-TAB or their respective rights holders.
Purchase of the toolkit grants permission to use the licensed materials. It does not transfer copyright, ownership or other intellectual property rights.
The licensee retains ownership of their original project data, independently developed materials and original contributions created through permitted use of the toolkit.
A-TAB makes no claim of ownership over independently created reports, analysis, project outputs or client-specific work produced using the toolkit.
Third-party software, open-source components and materials, where included, remain subject to their respective applicable licences. Nothing in this Agreement overrides those licences.
5. Disclaimer and Limitation of Liability
The toolkit is designed to support professional workflows, analysis, research and decision-making.
AI-generated outputs may differ between platforms, model versions, inputs and repeated executions. Results also depend on the quality and suitability of the data supplied.
The licensee is responsible for reviewing, validating and determining the suitability of all outputs before relying upon them.
Guidance relating to survey design, sampling, statistics, geographic analysis, data protection and related subjects is general information and does not replace professional judgement or specialist advice.
Except for warranties, rights and remedies that cannot lawfully be excluded, the toolkit is supplied without additional warranties concerning uninterrupted operation, compatibility with every third-party platform or suitability for every particular project.
To the extent permitted by applicable law, A-TAB shall not be liable for indirect or consequential commercial losses, including lost profits or business opportunities, arising from use of the toolkit.
For business purchases, A-TAB's aggregate contractual liability relating to the purchased toolkit shall not exceed the amount paid for that toolkit, except where such limitation is prohibited by law.
Nothing in this Agreement excludes or restricts liability for fraud, fraudulent misrepresentation, death or personal injury caused by negligence where applicable, or any other liability or statutory consumer right that cannot lawfully be excluded or limited.
6. Data Protection and User Responsibilities
Demonstration datasets supplied with the toolkit are fictional unless expressly identified otherwise. Any fictional people, locations, organisations or responses are provided solely for learning, testing and demonstration.
The licensee is responsible for ensuring that data collected, entered, processed or analysed using the toolkit is obtained and used lawfully.
This includes compliance with applicable data protection legislation, confidentiality obligations, security requirements and requirements concerning lawful bases for processing personal information.
Applicable legislation may include the Nigeria Data Protection Act 2023, UK data protection legislation, the EU General Data Protection Regulation and other relevant national laws, depending on the project and jurisdiction.
The licensee is also responsible for complying with the data-use terms and privacy policies of any third-party software, survey platform or AI provider used with the toolkit.
7. Third-Party Software and Trademarks
The toolkit may reference third-party applications, products or platforms, including KoboToolbox, ODK, SurveyCTO, Microsoft Excel, SPSS, Stata and AI services.
All third-party trademarks, service marks and product names remain the property of their respective owners.
Unless expressly stated, the toolkit is independently developed and is not sponsored, endorsed, certified by or affiliated with these organisations.
The licensee is responsible for obtaining any separate third-party software licences, subscriptions or service access required for their intended use.
8. Updates and Technical Support
The purchase includes access to updates released for the purchased toolkit during the first 12 months following purchase.
Updates are provided when available and are not guaranteed at any particular frequency.
At the end of the 12-month period, the licensee may continue using the latest version received without paying a renewal fee.
Later upgrades, new product editions, separately developed modules or additional products may be offered for purchase.
Individual technical support, customisation, consultancy services and project implementation assistance are not included unless expressly stated in the product description or purchase agreement.
9. Refunds and Licence Termination
Refund requests are governed by A-TAB's published Refund Policy:
https://atabinformatics.com/refunds.html
This Agreement does not exclude any mandatory cancellation, refund or other statutory rights available to consumers under applicable law.
Where legally permitted, a consumer who expressly consents to immediate delivery of digital content and acknowledges the resulting loss of the statutory cancellation right may lose that cancellation right once supply begins. Any required consent, acknowledgement and confirmation must be obtained in accordance with applicable law.
A-TAB may terminate this licence if the licensee commits a material breach of its terms.
Where the breach is capable of remedy, A-TAB will give written notice describing the breach and allow 14 days to remedy it before termination.
Where the breach cannot reasonably be remedied, including serious unauthorised commercial redistribution, A-TAB may terminate the licence by written notice, subject to applicable law.
Upon lawful termination, or following a completed refund that ends the purchase, the licensee must cease using the licensed materials and delete copies under their control, except where retention is required by law.
Lawfully created and delivered project outputs that do not contain unauthorised copies of the toolkit are not automatically subject to deletion.
10. Pricing and International Taxes
Digital products are supplied from Nigeria by A-TAB Global Informatics Nig Ltd.
Product prices are stated in the currency displayed at checkout.
Any applicable VAT, sales tax or similar indirect tax will be collected or accounted for by the party legally responsible under the applicable tax laws.
Where required, applicable taxes will be disclosed or calculated during checkout.
For eligible business-to-business transactions, the purchaser may be responsible for accounting for applicable taxes under relevant reverse-charge or similar provisions.
11. Website Terms and Order Conditions
Purchases and use of the toolkit are also subject to A-TAB's published Terms of Service:
https://atabinformatics.com/terms.html
Where the Terms of Service conflict with this Agreement specifically concerning the permitted use, ownership or redistribution of the toolkit, this Agreement takes precedence.
The product description and order confirmation identify the product purchased and any expressly included features or services.
Nothing in this Agreement limits mandatory statutory rights available to the licensee.
12. Governing Law and General Provisions
This Agreement is governed by the laws of the Federal Republic of Nigeria, subject to any mandatory consumer protection provisions that apply in the purchaser's country of residence.
The parties should first attempt to resolve disputes through good-faith communication.
Nothing in this Agreement prevents a consumer from exercising any right to bring proceedings before a competent court where applicable law provides that right.
If any provision is found unlawful, invalid or unenforceable, the remaining provisions shall continue in effect to the extent permitted by law.
A-TAB's failure to enforce a provision on one occasion does not constitute a permanent waiver of its rights.
Any modification of this Agreement shall not retrospectively remove rights already granted to an existing licensee without a lawful contractual basis.
