Terms of Service
1. About these terms
A-TAB Global Informatics Nig Ltd is a company registered in Nigeria with registration number RC 9078604, whose registered office is at 11, Olaoluwa Street, off Dopemu Road, Agege, Lagos State, Nigeria ("we", "us", "our").
These terms apply when you use our website at https://atabinformatics.com or buy, download or use our software, including the A-TAB Spatial Access Analyser and our other desktop tools (the "Software"), and our digital kits (the "Content", see section 14). By buying or using the Software you agree to these terms. If you are buying for an organisation, you confirm that you have authority to accept them on its behalf.
Use of the Software is also governed by the End User Licence Agreement ("EULA") shown when you install it. If these terms and the EULA conflict about use of the Software, the EULA applies.
2. Buying from us
Our online order process is conducted by our online reseller Paddle.com. Paddle.com is the Merchant of Record for all orders placed through our online checkout. Paddle provides all customer service inquiries and handles returns for those orders.
- Prices are shown on our website. Prices for purchases through our online checkout include any sales tax or VAT that applies in your country: the price shown is the price you pay. Paddle collects that tax and pays it to the tax authorities.
- Paddle's own Buyer Terms also apply to purchases through our online checkout. Paddle processes those payments; we never see your card details.
- You may also buy directly from us by invoice. Section 15 (Orders paid by invoice) applies to those orders.
3. Licences
You buy a licence to use the Software, not ownership of it. The licence types are:
| Licence | What you get |
|---|---|
| Annual subscription | Use of the Software and all updates while the subscription is active. Renews automatically each year until cancelled. |
| Perpetual | Use of the version you bought, with no time limit, plus updates released in the 12 months after purchase. |
| Organisation | Use by up to the number of named users stated in your order, on the terms above for the chosen licence period. |
| Trial (if offered) | Use for evaluation for the period stated, without charge. Outputs may be marked as trial outputs. |
- Each single-user licence may be installed on up to 2 computers used by the same person.
- Your licence key is sent by email after purchase. If you lose it, contact enquiries@atabinformatics.info with your order number and we will resend it.
- Academic and non-profit discounts require proof of eligibility on request.
4. Subscriptions and cancellation
- Subscriptions renew automatically at the end of each period at the price then shown, unless cancelled. We will tell you about any price change at least 30 days before it applies.
- You can cancel at any time from the link in your Paddle receipt or by emailing enquiries@atabinformatics.info. You keep access until the end of the period you have paid for.
- Refunds are covered by our Refund Policy.
5. Your responsibilities
You agree not to:
- share, resell, rent or sublicense the Software or licence keys, except as your licence allows;
- remove, bypass or interfere with licence checks or copyright notices;
- reverse engineer, decompile or disassemble the Software, except where the law allows this despite this restriction;
- use the Software unlawfully, or with data you have no right to use.
You are responsible for the data you load into the Software, including having the right to use it, and for keeping backups of your data and results.
6. What the Software does and does not do
The Software is a planning and screening tool. Its results depend on the quality of the data you provide and on the methods described in the user guide. For example, the A-TAB Spatial Access Analyser measures straight-line distance, or travel time over a surface you supply, and its priority rankings and suggested interventions are prompts for discussion, not decisions.
Results should be checked against local knowledge and other evidence before they are used to make decisions about services, funding or people. The Software does not give medical, clinical, legal or financial advice.
7. Intellectual property
We, or our licensors, own all rights in the Software, its documentation and our website. The Software includes open-source components that are licensed under their own terms, listed in the THIRD_PARTY_NOTICES file installed with the Software. Nothing in these terms limits your rights under those licences.
You own the data you load into the Software and the results you produce with it.
8. Updates and support
- We may release updates that fix problems, improve the Software or change features. We will not remove a core feature from a version you have already paid for.
- Support is provided by email at enquiries@atabinformatics.info. We aim to reply within 2 working days (West Africa Time).
- We support the current version and the previous major version of each product.
9. Warranty
We will provide the Software with reasonable skill and care, and it will perform substantially as described in its documentation. If it does not, tell us and we will try to fix the problem. If we cannot, you can ask for a refund under our Refund Policy.
Except as set out in this section, and to the extent the law allows, the Software is provided "as is" and we give no other warranties, including that it will be free of errors or suit a particular purpose.
10. Limitation of liability
- Nothing in these terms limits liability that cannot be limited by law, including for fraud, or for death or personal injury caused by negligence.
- We are not liable for loss of profit, revenue, data or goodwill, or for indirect or consequential loss.
- Otherwise, our total liability to you in connection with the Software is limited to the amount you paid us for it in the 12 months before the claim arose.
- If you are a consumer, you also have rights under the law of the country where you live. These terms do not affect those rights.
11. Ending your licence
We may suspend or end your licence if you seriously breach these terms or the EULA, for example by sharing licence keys, and do not put it right within 14 days of our notice. When a licence ends you must stop using the Software. Sections 6, 7, 9, 10 and 13 continue to apply.
12. Changes to these terms
We may update these terms, for example when the law or our products change. The version in force when you buy applies to that purchase. For subscriptions, we will give at least 30 days' notice of material changes before your next renewal, and you may cancel if you do not agree.
13. Law and disputes
These terms are governed by the laws of the Federal Republic of Nigeria. We will try to resolve any dispute with you informally first. If that fails, the courts of Lagos State, Nigeria will have jurisdiction, although consumers may also bring claims in the courts of the country where they live where the law allows.
14. Digital content (kits)
We also sell digital content, including the A-TAB AI Workflow Kit for GIS, the A-TAB Survey & Questionnaire Kit, the A-TAB Proposal & Grant Kit and the A-TAB Assignment Kits: libraries, guides and files supplied for download (the "Content"). Use of the Content is governed by the licence supplied with it (LICENSE.txt or LICENCE.txt), which is also shown on our website before you buy. Where these terms and that licence conflict about use of the Content, the licence applies.
Each licence covers the people it names. A personal, single or Individual licence is for one named person. A Team or Organisation licence is for up to 10 named people in one organisation.
After payment we email your copy of the Content, or a link to download it. A download link expires after 7 days and a limited number of downloads; ask us for a new copy at any time during your update period. Each copy names the licensee and the order.
Content purchases include updates for 12 months from purchase (Team subscriptions: while the subscription runs). After that you keep the version you have, and may buy a further 12 months of updates.
The Content is guidance, not a guarantee. Results depend on your data, the AI tools you use and the checks you run, and AI tools can give different answers at different times: check every result before relying on it.
Section 3 (licence keys and installation) does not apply to the Content. Sections 5, 7 and 9 to 13 apply to the Content as they do to the Software; when a licence to the Content ends, you must stop using it and delete your copies.
15. Orders paid by invoice
- Who sells. When you buy from us by invoice, A-TAB Global Informatics Nig Ltd (RC 9078604) is the seller. Paddle is not the seller or Merchant of Record for that order, and Paddle's Buyer Terms do not apply to it.
- Who can order. We accept direct invoice orders from individuals and organisations in Nigeria, and from organisations in other countries once we have confirmed their business status and the tax treatment. Individual buyers in the United Kingdom and the European Union should use our online checkout when it is available. Other orders are considered case by case.
- Ordering. You may request an invoice through the order links on our website, our contact page or by email. A request is not an accepted order. Our invoice states the product, edition, licence type, the licensee or named users, the currency, the price, the tax treatment and how to pay. Payment is due within 14 days of the invoice date; after that we may withdraw the invoice or reissue it at the prices then current.
- Licence acceptance. Before you pay, the licence for the product is shown on our website, and you confirm that you have read and accept it. We record the licence version and your acceptance.
- When the contract is made. The contract is made when we confirm acceptance of your order after we have received cleared payment. If we cannot accept a paid order, we tell you and return the payment.
- Prices and taxes. Prices are in US dollars unless we agree another currency. Customers in Nigeria are charged Nigerian VAT at the applicable rate (currently 7.5%), shown on its own invoice line, unless an exemption or zero-rating lawfully applies. For customers outside Nigeria, the invoice states the tax treatment; where the law requires it, a business customer accounts for tax in its own country, for example under reverse-charge rules.
- Withholding tax. Where applicable Nigerian law requires a customer to deduct withholding tax, the customer shall remit it to the appropriate authority and provide A-TAB with valid evidence of deduction and remittance sufficient to support any available tax credit.
- Payment and bank charges. Pay only to the account or payment service named on the invoice. Bank and transfer charges, including intermediary bank charges and currency-conversion costs, are borne by the customer, so that we receive the full invoiced amount. If we receive less, we will tell you before delivery.
- Delivery. After we accept your order, we email your copy and its licence certificate, normally within two working days. Tell us promptly if it does not arrive or will not open, and we will put it right.
- Refunds. Our Refund Policy applies, including the 72-hour (3-day) money-back guarantee, which runs from delivery. Bank and transfer charges, including intermediary bank charges and currency-conversion costs, are borne by the customer and are deducted from any refund.
- Purchase orders. An organisation may send a purchase order. Its terms apply only where we agree them in writing; otherwise these terms apply.
16. International sales and taxes
All digital products are supplied from Nigeria by A-TAB Global Informatics Nig Ltd.
Prices exclude any applicable VAT, sales tax or similar indirect taxes unless otherwise stated.
Where required by law, applicable taxes will be calculated and collected at checkout or accounted for by the responsible party.
For eligible business-to-business transactions, the buyer may be responsible for accounting for VAT under the applicable reverse-charge rules.
